The minutes of the May 2014 PC meeting indicate that 2 individuals were nominated for Chairman and Vice Chairman, and they were the only proposed candidates for the 2 roles.

However, the result of an election was not recorded in the minutes for each of the proposals, and the fact that an actual vote didn't take place is now being contested as grounds that the Chairman and Vice-Chairman are acting without proper authority. The assertion seems to be that since there was only one nomination for each role then the candidates got the roles by default.

What's the legal position if an actual election didn't take place to confirm the proposals for each of these roles, and the result was not recorded in the minutes of that meeting? I am aware of the relevant Part I, Parishes, Section 15 of LGA 1972.

Is the Clerk at fault for not having advised the correct process be followed?

"... all questions coming or arising before a local authority shall be decided by a majority of the members of the authority present and voting thereon at a meeting of the authority" Local Government Act 1972, Schedule 12, para 39(1).  So, no appointment has been made without a vote, which must be minuted as a decision of the council.

Moreover, the chairman must execute a declaration of acceptance of office at the meeting at which the appointment is made, and if this is not done, then the appointment becomes ineffective and the post of chairman vacant.  A vice chairman may, but is not required to, execute a declaration of acceptance of office.

A council that does not have an elected chairman is not properly constituted and cannot lawfully act.  The first meeting after the post of chairman becomes vacant must appoint a chairman as the first item of business.  This is indicated by the legislation you cite.

So it looks as if the whole council is now lacking authority to act as a council until a chairman is appointed and signs the declaration.

It does sound as if the clerk may need to brush up on local council law and procedures.

CORRECTION: The declaration of acceptance must be signed at the meeting if the person is present. In general, it must be signed before the person can officiate as chairman. If present, they must officiate, hence the need to sign at once.

Where can I find the authority for your statement in the second paragraph that the Chairman must execute a declaration of acceptance by signing a document. I don't recall seeing it in LGA 1972.
LGA 1972 section 83.
An update: on the revised advice from our local Monitoring Officer, it now appears that the law is not applied in this manner and they follow Knowles on Local Authority Meetings, which apparently says that if there is only one candidate for Chairman then there doesn't need to be a vote and show hands! So much for the law ...
Having studied the pages of Knowles that relate to election of a chairman, I'm not altogether convinced by this interpretation, so I will leave my earlier comments as they are.
