Is it legally binding on all members of the council?

Hard to say without knowing the situation that concerns you.  A local council is a corporate body, which exists independently of its members.  It cannot do anything except through decisions made at a meeting for which proper notice has been given.

Once a decision is properly made, it is then a decision of the council.  Individual councillors (including the chairman) have no powers outside of council (or committee) meetings.  The clerk most likely has delegated powers and some ability to take decisions.

But a council can only pass resolutions on a matter for which it has a power, provided by statute.  That is a pretty broad remit, but does not, for example, allow a council to tell its own members what to do.
