A meeting was held with the Chairman My self and the Clerk although the Clerk cancelled at the last minute. There were follow up emails recording the meeting took place but not a formal minute.  Does that count as a meeting (sub Committee) of any kind bearing in mind we are a tiny Parish Council that only hold 4 meetings a year?

Meetings should be minuted, otherwise they aren't meetings, with only two people in the room, the meeting probably wasn't quorate.
Always check your standing orders - however small the parish they should still have a proper set of rules. From the description it was 3 people (2 in the end) having a chat (and no legal basis / consequence).
