Yes, but the first item of business should be the appointment of a new chairman. Just as for the annual meeting. A council is not properly constituted without a chairman.

The vice chair's duty is to deputise for the chair in their absence and could cover an extended period say due to illness etc. The vice chair's position is as stated, on a resignation to chair the next meeting until a new chair is elected.
